Best efforts is a method of securities distribution or underwriting in which the securities firm agrees to sell as much of the offering as possible and return any unsold shares to the issuer.

Best Efforts Offering. A securities offering in which the underwriter is only committed to sell as many securities as possible at the price agreed to between the company and the underwriter and is not obligated to purchase securities not sold.

Best efforts
Arrangement whereby investment bankers acting as agents agree to use their best efforts to sell an issue to the public. This differs from underwriting the issue.

Best Efforts Underwriting
The IPO underwriter agrees to act only as "agent" in the transaction. The underwriter will use its best efforts to sell the issue, however, will not accept any financial liability related to placement of the issue.

Alternatively, the investment banker may agree to use all its best efforts and its expertise to sell an issue but making no guarantee to sell the entire issue at the sell price. In US this kind of arrangement is referred as to best efforts.
