Registered security
Used in the context of general equities. Securities whose owner's name is recorded on the books of the issuer or the issuer's agent, called a registrar.

Registered Security
A securities certificate that is recorded in the name of the owner on the books of the issuer. Ownership of the security can only be transferred when the certificate is endorsed by the registered owner.

Generally, a company with securities registered under Section 12 of the 1934 Act must send an information statement to every holder of the registered security who is entitled to vote on any matter for which the company is not soliciting proxies.

(stock or bond) which does not have the owner's name recorded in the books of the issuing company nor on the security itself and which is payable to the holder, i.e., the holder is the deemed owner of the security. See also Registered Security.

When the holder of record is known, the security is said to be a registered security. If the holder of record is unknown (not recorded), then the security is said to be a bearer security and may be freely traded by whoever possess it.
