Restricted stock
Definition 1.
Stock that must be traded in compliance with special SEC regulations concerning its purchase and resale. These restrictions generally result from affiliate ownership, M&A activity, and underwriting activity.
A firm can handle transactions in restricted stock only as an agent performing a brokerage function. It cannot trade for its own account, give indications, or solicit orders with reference to restricted stock.
