However, ultra vires, together with unreasonableness, was mentioned much earlier by Lord Russell in the well known case, Kruse v Johnson,1898, regarding challenging by-laws and other rules.

papers can be served to the corporation if necessary. Though the articles vary from country to country and from corporation to corporation but are quite general in nature; the details on the corporation's modus operandi are covered in its by-laws.
