Cooling-Off Period
The period between filing of the registration statement on a new issue with the SEC to the effective date of the offering.

For example, the guidance in a Bulletin may specify that the standard does not apply to enterprises in a particular industry or may provide for deferral of the effective date of a standard for that industry.

Effective Date - once the marketing phase of the IPO is completed, the underwriter will file an acceleration request with the SEC. This request will establish the date of the IPO.
